Lead generation, outreach, data use, enrichment, and prospecting terms.
Addendum E — Lead Generation, Outreach, and Data Use Terms This Addendum supplements and forms part of the BayoSys Terms & Conditions, Privacy Policy, SaaS Agreement, Tenant Agreement, and any service-specific or payment-related terms. It applies to lead-generation systems, prospect data, outbound outreach tools, imported lists, enriched records, Baylon Agency workflows, Retell AI calling flows, CRM ingestion, and related automation systems described in your checklist 1. Scope This Addendum governs the creation, import, storage, enrichment, routing, sale, transfer, subscription access, and use of lead or prospect data through BayoSys, Baylon Agency, or any related platform module. It applies to: lead buyers agents tenant businesses internal users contractors API users any person or business accessing lead-generation or outreach functionality 2. Lead Data Sources Lead or prospect data made available through the platform may come from one or more of the following sources: public records public websites public business listings CRM imports customer-uploaded lists purchased lead files skip-tracing providers data enrichment vendors form submissions booking requests inbound inquiries cold-call or cold-email responses manually entered records internal scoring or routing systems AI-assisted data cleanup or classification flows BayoSys does not represent that all source records are current, complete, or verified. 3. Nature of Lead Data Lead data may include: names email addresses phone numbers property-related data business details address data demographic or household indicators marketing source metadata outreach history tags, scores, notes, and classifications Lead data may be incomplete, inaccurate, outdated, reassigned, or unsuitable for a user’s intended campaign. 4. No Guarantee of Accuracy or Outcome BayoSys makes no guarantee regarding: data accuracy phone validity email validity contactability ownership status exclusivity conversion rates sales performance licensing eligibility compliance outcomes Use of lead data is at the user’s sole risk. A record being present in the system does not mean it is safe or lawful to contact, market to, quote, or enroll. 5. User Responsibility for Compliance Each user, buyer, agent, or tenant is solely responsible for compliance with all applicable laws, regulations, and industry rules governing lead use and outreach, including as applicable: TCPA Do Not Call rules state telemarketing laws CAN-SPAM texting and SMS rules call-recording laws AI voice disclosure rules licensing rules insurance marketing rules CMS/Medicare rules privacy laws data broker or suppression obligations any state-specific consent requirements BayoSys does not provide legal compliance clearance for any campaign, script, workflow, list, or lead record. 6. Outreach Use Restrictions Users may use lead data only for lawful, authorized, and contractually permitted business purposes. Users may not: contact leads in violation of consent requirements ignore opt-out or do-not-call requests use deceptive caller ID or misleading subject lines impersonate a person or agency unlawfully use leads for harassment, spam, or abusive outreach upload unlawful scripts or campaigns use lead data for prohibited or discriminatory targeting contact leads for products or services the user is not licensed or legally permitted to sell 7. AI Calling, Automated Outreach, and Retell AI Where the platform supports AI-assisted calling, voice agents, workflow automation, drafting, or related outreach tools: the user is solely responsible for lawful deployment and lawful disclosures the user is solely responsible for determining whether AI disclosure, call-recording notice, prior consent, or other notices are required the user is solely responsible for reviewing scripts, prompts, automations, routing logic, and outbound behaviors before launch BayoSys does not guarantee that any Retell AI, automation, or campaign configuration is compliant in any jurisdiction. 8. Exclusivity and Non-Exclusivity Unless expressly stated otherwise in writing: leads are provided on a non-exclusive basis the same or similar records may exist in other systems, public datasets, prior imports, or third-party databases BayoSys is not responsible for duplicate distribution unless a separate exclusivity term has been agreed in writing If exclusive leads are ever offered, exclusivity will be governed only by the specific written terms attached to that offering. 9. Refunds, Replacements, and Bad Data Unless otherwise stated in a separate written policy: lead data is provided as-is no refund is guaranteed for nonresponsive, unreachable, or nonconverting leads no refund is guaranteed for reassigned numbers, stale records, or incomplete records BayoSys may, in its discretion, offer: replacement leads credits partial adjustments No such accommodation is required unless expressly promised in writing. 10. No Resale or Unauthorized Sharing Unless expressly authorized in writing, users may not: resell lead data sublicense lead data redistribute exports publish lead records share lists outside the authorized business or workspace use platform-derived lead data to build a competing database or marketplace Lead data may be used only within the scope of the authorized account, team, or campaign. 11. Opt-Outs, Suppression, and Deletion Handling Users are responsible for: honoring do-not-call requests honoring unsubscribe requests maintaining internal suppression lists where required ceasing outreach where consent is withdrawn or legal basis no longer exists BayoSys may maintain suppression, block, or exclusion logic for operational reasons, but users remain responsible for their own compliance and outreach hygiene. 12. CRM and Access Boundaries Lead-generation data, CRM data, and automation systems may be connected operationally, but access rights remain limited. Unless expressly authorized: users may access only the lead or CRM records assigned to their workspace, campaign, or role no user may access another tenant’s or agent’s protected records exported data may not be combined with restricted internal datasets in violation of account permissions 13. Nico / OpenClaw / API Boundary Language Internal automation tools, including systems such as Nico or OpenClaw, may access lead-generation systems for operational purposes such as: enrichment cleanup deduplication scoring routing formatting campaign support reporting Unless explicitly authorized by BayoSys, such systems do not grant the user unrestricted access to broader CRM environments, protected tenant records, or unrelated business data. BayoSys reserves the right to limit, monitor, or revoke automated access to protect system integrity and data boundaries. 14. Usage Limits and Rate Controls BayoSys may impose limits on: exports API calls enrichment volume calling volume campaign creation concurrent workflows subscription access seat access daily or monthly usage BayoSys may change limits at any time for security, compliance, cost control, system stability, or product reasons. 15. Subscription Access to Leads or Data Tools If lead access or data tools are offered on a subscription basis: access is limited to the plan purchased nonpayment may suspend exports, outreach tools, or account access cancellation stops future billing but does not erase obligations incurred before cancellation unused credits, allotments, or quotas may expire unless otherwise stated 16. Insurance and Regulated-Market Disclaimer Where lead-generation features are used for insurance, health, financial, or other regulated markets: the user is solely responsible for holding proper licenses and appointments the user is solely responsible for compliant marketing conduct the user is solely responsible for script compliance, enrollment rules, and jurisdiction-specific restrictions BayoSys does not guarantee that any lead source, script, workflow, enrichment layer, or automation setup is compliant for regulated-industry use. 17. Recordkeeping and Evidence Users are responsible for maintaining their own records sufficient to defend lawful outreach, including where applicable: consent records opt-in records suppression logs call logs script versions disclosure evidence campaign settings licensing records BayoSys may retain operational logs, but users should not rely on BayoSys as their sole compliance archive unless expressly agreed in writing. 18. Suspension and Enforcement BayoSys may suspend, restrict, or terminate access to lead-generation or outreach features if it suspects: unlawful outreach excessive complaints spam behavior fraud abuse of prospect data unauthorized resale regulatory risk misuse of automation systems conduct creating processor, hosting, or reputational risk BayoSys may act with or without notice where reasonably necessary. 19. Indemnification The user agrees to indemnify and hold harmless BayoSys, Baylon Agency, and related platform operators from claims, complaints, fines, losses, regulatory inquiries, lawsuits, and expenses arising out of: unlawful outreach TCPA or telemarketing violations CAN-SPAM violations DNC violations licensing violations misuse of lead data deceptive scripts AI-calling misuse failure to honor opt-outs resale or unauthorized sharing of data use of leads in regulated markets without proper authorization 20. Limitation of Liability To the maximum extent permitted by law, BayoSys is not liable for: stale or inaccurate leads failed campaigns low conversion blocked numbers spam filtering regulator complaints carrier filtering processor or vendor restrictions reputational damage resulting from a user’s outreach decisions 21. Survival The following provisions survive termination: compliance obligations payment obligations confidentiality no-resale restrictions indemnification suppression and deletion obligations dispute and enforcement rights 22. Effective Date This Addendum is effective as of: April 1st 2026
