PhotoPay Terms Addendum

PhotoPay-specific terms for events, buyers, transactions, and digital delivery.

PhotoPay Terms / Addendum
This Addendum supplements the BayoSys Terms & Conditions, Privacy Policy, SaaS Agreement, Tenant Agreement, and Stripe Payment Terms, and applies to PhotoPay galleries, event pages, prepay pages, inline-payment flows, digital delivery pages, and related services.
1. Scope and Roles
PhotoPay is a BayoSys-powered module that enables photographers, studios, schools, event operators, and other approved creators to sell or deliver digital images and related products.
For PhotoPay transactions:
BayoSys / PhotoPay provides the software, hosting, gallery access, payment workflow, and digital delivery infrastructure.
Event Creator / Photographer / Studio is the independent business or operator responsible for event setup, image uploads, pricing, customer communication, permissions, fulfillment decisions, and legal compliance.
Customer is the purchaser, parent, guardian, student representative, attendee, or other end user accessing or buying digital content.
BayoSys is not the photographer, studio, school, or event organizer and is not responsible for the underlying event or photography services.

2. Event Types
PhotoPay may support multiple event and gallery configurations, including:
Inline Events - customers pay at or after image selection within the event or gallery flow
Prepay Events - customers pay before the event, before access is granted, or before final images are delivered
Future Event Types - any other event or gallery structure BayoSys introduces later
Available event types may vary by account, plan, or configuration.

3. Event Creator Responsibilities
The Event Creator is solely responsible for:
configuring the event correctly
entering accurate event details
setting lawful pricing and offers
uploading the correct images and files
maintaining rights to all uploaded media
ensuring the correct gallery, access flow, and delivery setup
handling customer support, corrections, and fulfillment issues
complying with school, venue, parent, privacy, and local legal requirements
BayoSys is not responsible for errors caused by incorrect event setup, mislabeling, wrong pricing, wrong gallery links, or incorrect uploads by the Event Creator.

4. Image Ownership and Platform Rights
4.1 Creator Ownership
Except as otherwise agreed in writing, the Event Creator retains ownership of the images, media, branding, and uploaded content they submit to PhotoPay.
4.2 Customer Purchase Rights
A customer’s purchase gives the customer only the rights expressly granted at the point of sale or under applicable law. Unless otherwise stated by the Event Creator, customers receive a limited personal-use license for purchased digital images and may not:
resell images
sublicense images
commercially exploit images
remove watermarks or attribution where prohibited
use images in ways that infringe the rights of the creator or subjects
4.3 BayoSys Platform License
By uploading content to PhotoPay, the Event Creator grants BayoSys a limited license to host, store, process, transmit, display, and deliver that content solely as necessary to operate the PhotoPay service and related platform functions.

5. Customer Access and Delivery
Customers may receive access to:
digital image galleries
download links
order confirmation pages
event-specific access links
future delivery methods supported by the platform
Delivery is subject to:
successful payment where required
proper event configuration
availability of uploaded files
account or link validity
BayoSys does not guarantee perpetual access to galleries or files.

6. Link Expiration and Download Responsibility
Access links, gallery availability, and delivery windows may expire.
Customers are responsible for:
downloading purchased files promptly
saving and backing up downloaded files
confirming successful receipt within the available access period
Unless otherwise required by law or expressly stated in writing, BayoSys and the Event Creator are not obligated to restore expired links, re-host files indefinitely, or recover files a customer failed to download in time.

7. Refunds for Digital Files
Refund policies for PhotoPay purchases are governed by:
the Event Creator’s posted refund policy
the BayoSys Stripe Payment Terms
applicable law
Unless required by law, digital products may be non-refundable once:
access has been granted
files have been made available
download rights have been delivered
BayoSys may assist with platform billing issues, but refund responsibility for event-specific or creator-specific sales remains primarily with the Event Creator.

8. Incorrect Event Setup and Upload Errors
The Event Creator is responsible for the accuracy of:
event names
dates
participant associations
gallery grouping
image assignment
pricing setup
package or offer details
privacy settings
access controls
BayoSys is not liable for losses, complaints, missed sales, or takedown requests resulting from incorrect configuration or operator error by the Event Creator.

9. Gallery Privacy and Access Controls
PhotoPay may offer privacy or access controls such as:
unique gallery links
password-protected access
event-based access flows
limited download windows
These controls reduce risk but do not guarantee absolute privacy or security.
The Event Creator is responsible for choosing the appropriate privacy settings for each event and for using the platform in a way that matches the sensitivity of the images involved.

10. Student and Minor Photo Considerations
Where PhotoPay is used for school, youth, sports, church, camp, or other minor-related events:
the Event Creator is solely responsible for ensuring they have all required permissions, releases, notices, and authority to photograph, upload, display, and sell such images
the Event Creator must comply with all applicable laws, school rules, parent/guardian requirements, and venue policies
BayoSys does not independently verify consent, custody rights, school permissions, or release status
If a parent, guardian, school, or authorized representative raises a valid complaint regarding a minor’s image, BayoSys may remove, restrict, or disable access to content while the issue is reviewed.

11. Takedown Requests
BayoSys may accept and review takedown or restriction requests relating to PhotoPay content, including requests based on:
privacy concerns
intellectual property claims
mistaken identity
minor-safety concerns
court orders or legal process
other credible legal or platform-safety concerns
BayoSys may, in its discretion:
remove content
disable access
pause a gallery
require clarification from the Event Creator
preserve records for legal or dispute purposes
BayoSys is not required to keep disputed content live while a complaint is under review.

12. Prohibited Content
PhotoPay may not be used to upload, display, sell, or distribute content that is:
unlawful
infringing
defamatory
sexually exploitative, abusive, non-consensual, unlawful, or involving minors
hateful or discriminatory in violation of law or policy
deceptive or fraudulent
unsafe, malicious, or technically harmful
BayoSys may remove prohibited content immediately and suspend related accounts.

12A. Sensitive, Nude, or Sexually Explicit Content
PhotoPay is a general-purpose digital gallery and delivery platform. It is not marketed or represented as an adult-content platform.
Certain Event Creators may seek to use PhotoPay for galleries containing nude, intimate, boudoir, fetish-adjacent, or other sexually explicit imagery. Any such use is solely the responsibility of the Event Creator.
The Event Creator represents and warrants that, for any sensitive or sexually explicit content uploaded, displayed, sold, or delivered through PhotoPay:
all persons depicted were legally competent adults at the time the content was created
the Event Creator has obtained all legally required consents, permissions, releases, and rights necessary to create, upload, display, market, sell, and deliver the content
the content does not depict minors, exploitation, coercion, trafficking, assault, or any non-consensual conduct
the content does not violate obscenity, pornography, privacy, consumer protection, platform, payment processor, venue, or local law requirements
the Event Creator has complied with any recordkeeping, age-verification, labeling, notice, or other legal obligations that may apply in the jurisdictions relevant to the content, creator, or customer
BayoSys does not independently verify:
age
identity
consent
releases
legality of production
legality of distribution
compliance with adult-content laws or regulations
BayoSys reserves the right, in its sole discretion, to:
prohibit, restrict, review, remove, or refuse any nude, intimate, fetish-related, or sexually explicit content
require additional documentation or verification
suspend galleries, payouts, or account access
reject categories of content that create legal, processor, reputational, or operational risk
Availability of payment processing for sensitive or sexually explicit content is not guaranteed. Payment processors, including Stripe and related providers, may independently restrict, delay, hold, review, or prohibit transactions or accounts associated with such content, and BayoSys is not responsible for those decisions or resulting losses.
The Event Creator agrees to indemnify and hold harmless BayoSys from any claims, investigations, losses, fines, takedowns, chargebacks, processor actions, or legal disputes arising from sensitive or sexually explicit content or related transactions.


13. Payments and Platform Fees
Payments through PhotoPay are subject to the BayoSys Stripe Payment Terms and any applicable addenda.
This includes:
payment processing through Stripe or another processor
possible platform fees, including the possible $2 platform fee where applicable
dispute, refund, and chargeback rules
payout timing and processor limitations
BayoSys is not responsible for processor delays, payout holds, or account restrictions imposed by Stripe or another payment provider.

14. Chargebacks and Disputes
The Event Creator is responsible for:
proving fulfillment or delivery
maintaining event records
maintaining access logs where available
responding to customer complaints
cooperating in dispute investigations
If a PhotoPay purchase is disputed, BayoSys may rely on available logs, access history, payment data, and creator-provided records to respond, but BayoSys does not guarantee a successful dispute outcome.
Chargebacks, reversals, and related fees may be assigned to the Event Creator under the Stripe Payment Terms and related agreements.

15. Service Availability and File Hosting Disclaimer
PhotoPay is provided on an as-is and as-available basis.
BayoSys does not guarantee:
uninterrupted hosting
permanent file retention
continuous gallery availability
error-free uploads or downloads
preservation of files beyond applicable retention windows
The Event Creator remains responsible for maintaining original copies of all uploaded media.
Customers remain responsible for saving downloaded files.

16. No Professional Review of Content or Rights
BayoSys does not review or verify:
copyright ownership
model releases
school permissions
parent or guardian consent
trademark clearance
legal sufficiency of creator terms or notices
The Event Creator bears full responsibility for ensuring they have the lawful right to upload, display, and sell all content submitted to PhotoPay.

17. Termination and Content Access
If an Event Creator account is suspended, canceled, or terminated:
galleries may be disabled
public purchase links may be removed
customer access may be limited or discontinued
retained records may persist under the BayoSys Privacy Policy and related agreements
BayoSys is not obligated to maintain indefinite gallery access following account termination.

18. Limitation of Liability
To the maximum extent permitted by law, BayoSys is not liable for:
creator setup errors
incorrect uploads
missed sales
unauthorized sharing of links by users
privacy complaints caused by creator conduct
lost profits or event revenue
customer dissatisfaction with photography services
expired links or missed download windows

19. Indemnification
The Event Creator agrees to indemnify and hold harmless BayoSys from claims arising out of:
uploaded media
lack of permissions or releases
privacy complaints
minor-image disputes
intellectual property claims
consumer protection complaints
refund, chargeback, or fulfillment disputes
unlawful or noncompliant event operations

20. Effective Date
This Addendum forms part of the BayoSys legal framework and applies to PhotoPay-related activity effective as of: April 1st 2026
