BayoSys SaaS Agreement
SaaS access, platform operation, tenant responsibilities, and account usage terms.
BayoSys SaaS Agreement (Between BayoSys and Tenant Businesses) 1. Parties This Software-as-a-Service Agreement (“Agreement”) is entered into between: BayoSys (“BayoSys”, “we”, “us”, or “our”) The business entity or individual creating an account or using the Platform (“Customer”, “Tenant”, or “you”) 2. Scope of Services BayoSys provides access to a multi-tenant platform that may include: Website and landing page infrastructure CRM and customer management tools Booking and calendar systems Commerce and payment functionality Subscription and membership tools PhotoPay (digital delivery and event sales) Email and communication systems Automation and integrations Admin and onboarding tools Features may vary based on configuration. 3. Account & Workspace Each Customer is provided a tenant workspace within the Platform. All data, users, and operations are scoped to that workspace Customer is responsible for managing access and permissions 4. License Grant BayoSys grants Customer a: Limited Non-exclusive Non-transferable license to use the Platform solely for business purposes in accordance with this Agreement. 5. Restrictions Customer agrees not to: Copy, resell, or sublicense the Platform Reverse engineer or replicate system functionality Bypass payment systems or platform fees Use the Platform for unlawful or fraudulent purposes Access or attempt to access other tenant data Violation may result in suspension or termination. 6. Ownership BayoSys Ownership BayoSys owns: Platform software Codebase and infrastructure Templates and systems Automations and workflows CRM structure and backend systems Customer Ownership Customer owns: Business content Branding and assets Customer data Uploaded materials Platform Usage Rights Customer grants BayoSys the right to: Host Store Process Display customer data solely to operate the Platform. 7. Onboarding & Setup Customer must provide: Logo and branding assets Domain (if applicable) Support email Business information Service offerings and pricing Required integrations (e.g., Stripe, calendar) Delays caused by missing information are the responsibility of the Customer. 8. Customer Responsibilities Customer is responsible for: Accuracy of all business information Legal compliance in their industry Customer service and fulfillment Refund and cancellation policies Compliance with data privacy laws Maintaining access to third-party accounts (Stripe, Google, etc.) 9. BayoSys Responsibilities BayoSys will: Operate and maintain the Platform Provide core infrastructure and hosting Support platform functionality Implement reasonable security measures Enable checkout, CRM, and booking systems BayoSys does not guarantee uninterrupted service. 10. Fees & Business Model Core Model BayoSys may provide: Website setup Platform access with no required monthly fee, depending on the plan. Platform Fee BayoSys may charge a $2 platform fee per transaction, which may: Be paid by the end customer Be passed through or absorbed by the tenant This fee is: Separate from the Customer’s pricing Not tied to Stripe processing fees Potentially non-refundable Additional Fees Additional charges may include: Stripe or payment processor fees Optional add-ons or modules Custom development or services 11. Site Warranty (Optional) BayoSys may offer a Site Warranty subscription (e.g., $12/month), which may include: Ongoing edits within scope Minor updates and adjustments Limited feature enhancements Not Included: Full redesigns Major feature builds Third-party issues Without an active warranty: Support may be limited to critical fixes only 12. Payments & Billing Payments may be processed through Stripe or other providers Customer is responsible for maintaining valid billing information Failed payments may result in service interruption 13. Integrations The Platform may integrate with: Stripe Google Calendar Email providers CRM imports PhotoPay delivery systems Lead generation tools BayoSys is not responsible for failures caused by third-party services. 14. Data Handling & Privacy BayoSys stores and processes data on behalf of the Customer Customer is the data controller for their customer data BayoSys acts as a processor in many cases Customer must: Use data lawfully Provide required privacy notices Obtain necessary consent 15. Data Export & Termination Export Customer may request export of their data: Before or upon termination Subject to technical limitations Post-Termination After termination: Platform access may be revoked Data may be retained per Privacy Policy BayoSys is not obligated to maintain indefinite access 16. Suspension & Termination BayoSys may suspend or terminate access for: Nonpayment Fraud or abuse Legal or regulatory risk Excessive disputes or chargebacks Violations of this Agreement 17. Warranties & Disclaimers BayoSys provides the Platform “as is.” No guarantees are made regarding: Revenue or sales Lead generation results Booking volume Exact replication of prior websites Third-party service reliability 18. Limitation of Liability To the maximum extent permitted by law: BayoSys is not liable for: Lost profits Business interruption Indirect or consequential damages 19. Indemnification Customer agrees to indemnify BayoSys against claims arising from: Business operations Customer disputes Regulatory violations Content or data misuse 20. Confidentiality Both parties agree to: Protect confidential information Not disclose sensitive business or technical data 21. Governing Law This Agreement is governed by applicable laws determined by BayoSys. 22. Modifications BayoSys may update this Agreement at any time. Continued use constitutes acceptance. 23.
