Operational enforcement, suspension, restriction, and recovery terms for BayoSys platform use.
Addendum C — SaaS Operational & Enforcement Terms This Addendum supplements and forms part of the BayoSys SaaS Agreement. 25. Data Retention & Export Window Export Window Upon termination or account cancellation: Customer may request a data export within 30 days of termination After this period, BayoSys is not obligated to provide access or export Retention BayoSys may retain data: For a commercially reasonable period As required for: Legal compliance Accounting and audit purposes Fraud prevention and system integrity Backup and archival systems Post-Deletion Limitations Even after deletion: Data may persist in backups or logs for a limited time BayoSys is not required to immediately purge all residual data 26. Platform Control & System Authority BayoSys retains full authority over: Platform architecture Feature availability System updates and changes User interface and workflows Backend logic and infrastructure BayoSys may: Modify or remove features Introduce new functionality Change system behavior without prior notice where necessary for: Security Stability Product evolution 27. Service Availability & Support Scope Availability BayoSys does not guarantee: Continuous uptime Error-free operation Immediate issue resolution Support Scope Support includes: Platform-related issues Core functionality errors Access or account issues Not Included Unless explicitly agreed: Custom development Advanced integrations Third-party debugging Business consulting Design revisions outside scope Response Expectations Support response times may vary based on: Issue severity System impact Available resources No guaranteed SLA is provided unless separately contracted. 28. Fees Enforcement & Payment Authority Platform Fees BayoSys reserves the right to: Enforce platform fees (including the $2 per transaction fee) Adjust fee structure with notice Payment Control BayoSys may: Pause services for nonpayment Restrict access to features Delay processing or delivery tied to unpaid balances Nonpayment Consequences Failure to pay may result in: Account suspension Loss of access Data access limitations Termination of services 29. Stripe Connect & Payment Responsibility Where Stripe Connect or similar systems are used: Customer Responsibilities Customer is solely responsible for: Creating and maintaining a valid Stripe account Providing accurate identity and tax information Maintaining payout eligibility Compliance with Stripe’s terms BayoSys Limitations BayoSys is not responsible for: Account holds or reserves Verification failures Delayed or rejected payouts Frozen or restricted accounts Payment disputes or processor actions Payment Flow Funds may be routed directly to Customer accounts Platform fees may be collected by BayoSys Timing is controlled by Stripe or processor 30. Chargebacks, Disputes, & Risk Controls Customer is responsible for: Fulfillment of goods/services Handling customer disputes Providing evidence for chargebacks Financial Responsibility Chargebacks and dispute fees may be: Deducted from payouts Charged directly to Customer Risk Enforcement BayoSys may: Suspend payment functionality Restrict transactions Terminate accounts in cases of: Excessive disputes Fraud indicators High-risk activity 31. Domain, Email, & Infrastructure Responsibility Customer is responsible for: Domain ownership and control DNS configuration (unless managed by BayoSys) Email infrastructure and deliverability Third-party account access BayoSys is not responsible for: Domain disputes or loss Email delivery failures caused by external providers Misconfigured DNS or integrations 32. No Guarantee of Business Outcomes BayoSys makes no guarantees regarding: Revenue or profitability Lead generation or conversion Customer acquisition Booking volume Customer acknowledges: Success depends on their business execution Platform is a tool, not a guarantee of results 33. Feature Scope & Change Requests Included Features Customer receives access only to: Features included in their plan or configuration Change Requests Requests for: New features Custom functionality Design changes may require: Additional fees Separate agreements Extended timelines 34. Platform Abuse & Enforcement Prohibited actions include: Bypassing checkout or platform fees Sharing or reselling platform access Unauthorized data access Misuse of CRM or lead data Uploading unlawful or infringing content BayoSys may: Suspend or terminate accounts Restrict access Remove content without prior notice in cases of abuse. 35. Data Access Limitations After termination: Customer access to platform systems may be revoked BayoSys is not obligated to: Maintain dashboards Provide ongoing system access Preserve UI-level access to data Data may only be available through: Export requests within the allowed window 36. Confidentiality & System Protection Customer agrees not to: Disclose platform internals Share proprietary workflows or systems Replicate BayoSys architecture or processes 37. Survival of Terms The following survive termination: Payment obligations Limitation of liability Indemnification Data handling provisions Intellectual property protections 38. Effective Date This Addendum forms part of the BayoSys SaaS Agreement. Effective as of: April 1st 2026
