BayoSys Stripe Payment Terms

Payment processing, platform fees, Stripe-related responsibilities, and billing expectations.

BayoSys Stripe Payment Terms (Draft v1)
1. Scope
These Stripe Payment Terms govern payment-related activity processed through BayoSys-powered websites, portals, storefronts, booking pages, subscriptions, PhotoPay pages, and related services.
These terms apply to:
end customers making purchases, deposits, prepayments, subscriptions, or digital-download payments
tenants/businesses using BayoSys payment infrastructure
anyone using a payment feature made available through the BayoSys platform
These terms supplement the BayoSys Terms & Conditions, Privacy Policy, SaaS Agreement, and Tenant Agreement.

2. Payment Processor
Payments made through the platform are processed by Stripe and, where applicable, other third-party payment processors.
By using payment features on the platform, you acknowledge and agree that:
payment processing is handled by Stripe or another designated processor
you may also be subject to Stripe’s own terms, policies, and verification requirements
BayoSys does not control Stripe’s independent decisions regarding payment acceptance, account review, reserves, holds, payouts, or disputes
BayoSys does not store full payment card numbers or complete card credentials.

3. Types of Payments Covered
The platform may support the following payment types:
one-time purchases
service payments
deposits
appointment prepayments
inline event payments
subscriptions
memberships
site warranty billing
digital download payments
PhotoPay gallery or file access payments
other tenant-configured payment flows made available through the platform
Availability of payment types may vary by tenant and by configuration.

4. Platform Role vs. Tenant Role
BayoSys provides the payment infrastructure layer and platform functionality.
Each tenant is an independent business and is responsible for:
pricing
product or service descriptions
taxes unless otherwise configured
fulfillment
customer service
refund decisions
cancellation policies
dispute support and fulfillment evidence
Except where expressly stated otherwise, BayoSys is not the merchant of record for tenant goods or services and is not responsible for the underlying goods, services, bookings, events, or deliverables sold by the tenant.

5. Platform Fee
BayoSys may charge a $2 platform fee per transaction where applicable.
Depending on the specific site or configuration, this fee may be:
charged to the end customer as a separate line item
charged to the tenant
deducted from transaction-related funds where permitted by the payment flow
Unless required by law or expressly approved otherwise, the platform fee is separate from the tenant’s product or service charge and may be treated as non-refundable even if the tenant separately issues a refund for its own goods or services.
BayoSys reserves the right to modify platform fee structure, presentation, or application with notice where required.

6. Stripe Processing Fees
Stripe and other payment processors may charge processing fees, application fees, dispute fees, currency conversion fees, payout fees, or other transaction-related charges.
These fees:
are separate from BayoSys platform fees
may be deducted from payouts
may remain non-refundable even when a customer refund is issued, depending on processor rules
BayoSys is not responsible for processor fee policies.

7. Stripe Connect and Connected Accounts
Where the platform uses Stripe Connect or similar payout infrastructure, tenants may be required to create or maintain a connected payment account.
The tenant is solely responsible for:
completing onboarding
providing accurate identity, tax, and business information
maintaining valid bank account details
satisfying verification requirements
remaining eligible to receive payouts
complying with Stripe’s terms and applicable law
BayoSys is not responsible for:
verification failures
account holds
rolling reserves
payout delays
frozen funds
rejected accounts
restricted accounts
compliance reviews initiated by Stripe

8. Payout Timing and Availability
Where funds are routed through Stripe Connect:
payout timing is determined by Stripe and the tenant’s connected account status
BayoSys may receive platform or application fees from transactions
BayoSys does not guarantee exact payout timing or uninterrupted payout availability
Tenants understand that payouts may be delayed or withheld by Stripe for compliance, fraud, reserve, or underwriting reasons.

9. Taxes
Unless expressly stated otherwise in writing:
tenants are responsible for determining, collecting, reporting, and remitting applicable sales tax, VAT, use tax, business tax, and similar obligations related to their transactions
end customers are responsible for paying any taxes presented at checkout
BayoSys may collect, display, calculate, or report tax only where configured, supported, or legally required
BayoSys does not guarantee tax compliance for tenant businesses.

10. Refunds
Refund responsibility for tenant goods and services belongs primarily to the tenant, subject to the tenant’s posted policies and applicable law.
Refund treatment may vary by payment type.
10.1 Tenant Goods and Services
For tenant-provided goods, services, bookings, memberships, or event access:
the tenant’s refund policy controls unless prohibited by law
BayoSys may assist only with payment infrastructure issues, not substantive refund decisions
10.2 Platform Fee
The BayoSys platform fee may be non-refundable unless:
required by law
a billing error occurred
BayoSys expressly approves a refund
10.3 Processor Fees
Processor fees, including Stripe fees, may not be recoverable and may not be refunded even if the underlying transaction is refunded.
10.4 Digital Products
Digital products, downloads, and PhotoPay purchases may be non-refundable once access, delivery, or download rights have been provided, except where required by law.

11. Cancellations
11.1 Subscription Cancellations
Subscriptions may auto-renew unless canceled before the next billing cycle. Cancellation timing and effective termination depend on the plan terms presented at signup.
11.2 Booking and Appointment Cancellations
Appointment and booking cancellations are subject to the tenant’s rules, which may include:
cancellation deadlines
rescheduling limits
no-show fees
forfeiture of deposits or prepayments
11.3 Prepay and Event Payments
Prepaid event or service payments may be subject to special cancellation terms disclosed by the tenant at checkout or booking.

12. Failed Payments
If a payment fails:
access to services, subscriptions, galleries, or deliverables may be delayed, paused, or canceled
subscriptions may become inactive or past due
booking confirmation may not be completed
digital delivery may be withheld until payment is successful
BayoSys and tenants reserve the right to retry charges where permitted and consistent with applicable terms.

13. Chargebacks and Disputes
Tenants are primarily responsible for disputes relating to:
fulfillment
delivery
no-shows
cancellations
quality complaints
customer misunderstandings about tenant goods or services
Tenants are responsible for providing documentation and evidence necessary to contest disputes and chargebacks.
Chargebacks, reversals, and dispute fees may be:
deducted from tenant payouts
charged back to the tenant
used as grounds for risk review, payout restriction, or suspension
BayoSys may suspend payment access or tenant platform features if a tenant shows excessive dispute activity, fraud indicators, or abnormal payment risk.

14. Fraud and Risk Review
BayoSys and Stripe may block, review, delay, cancel, or refund transactions believed to involve:
fraud
unauthorized payment activity
suspicious behavior
legal or compliance risk
excessive disputes
abuse of the platform
BayoSys reserves the right to limit or suspend payment-related functionality while a transaction, tenant, or account is under review.

15. Currency
Unless otherwise stated, transactions are processed in USD.
If a tenant offers another currency or a card issuer applies conversion, additional fees, exchange differences, or international processing costs may apply.
BayoSys is not responsible for exchange-rate differences or fees imposed by banks or processors.

16. PhotoPay-Specific Payment Terms
For PhotoPay and similar digital delivery modules:
payment may be required before access to galleries, images, or digital assets is granted
delivery depends on successful payment completion
access links may expire
customers are responsible for downloading and saving purchased files within the available access period
BayoSys is not responsible for a customer’s failure to download, save, or preserve files after access is provided.
Refunds for PhotoPay-related purchases are subject to the tenant’s policy, these Stripe Payment Terms, and applicable law.

17. Site Warranty Billing
Where offered, the BayoSys Site Warranty is a recurring subscription, currently described as $12/month unless otherwise stated.
Unless a different billing rule is disclosed:
the subscription renews automatically each billing cycle
the warranty remains active only while payment is current
cancellation stops future billing but does not retroactively refund prior paid periods unless required by law or approved by BayoSys
Coverage scope is governed by the applicable SaaS and Tenant documents.

18. Tenant Billing Obligations
Tenants may owe:
platform fees
monthly fees if applicable
warranty fees
add-on fees
custom service charges
processor-related obligations passed through under this agreement
Nonpayment may result in:
suspension of payment tools
limitation of platform access
delay of launch or delivery
account termination

19. Payment Data Handling
BayoSys does not store full card numbers. Payment card data is processed by Stripe or another designated processor.
BayoSys may store or access payment-related metadata, including:
transaction IDs
subscription IDs
customer IDs
payment status
billing events
invoice details
dispute records
This information may be used for:
operations
support
accounting
fraud prevention
audit and compliance purposes

20. Limitation of Payment Liability
To the maximum extent permitted by law, BayoSys is not liable for:
processor outages
payment authorization failures
Stripe account restrictions
payout delays
bank rejections
disputed charges arising from tenant fulfillment issues
unrecoverable processor fees
losses caused by fraudulent or unauthorized acts of users or third parties

21. Changes to These Terms
BayoSys may update these Stripe Payment Terms from time to time.
Continued use of payment features after an update constitutes acceptance of the revised terms, subject to applicable legal requirements.
