BayoSys Terms of Use

Base terms for visitors, customers, tenant users, portals, storefronts, bookings, PhotoPay, and BayoSys-powered services.

BayoSys Terms & Conditions 
1. Acceptance of Terms
These Terms & Conditions (“Terms”) govern your access to and use of the BayoSys platform and any websites, portals, storefronts, booking pages, CRM systems, PhotoPay services, or related functionality powered by BayoSys (collectively, the “Platform”).
By accessing or using any part of the Platform, you agree to be bound by these Terms.
If you do not agree, you may not use the Platform.

2. Parties & Platform Structure
Platform Operator:
BayoSys (“BayoSys”, “we”, “us”, or “our”) provides software, infrastructure, and operational tools.
Tenants (Businesses):
Independent businesses (“Tenants”) may use BayoSys to operate websites, sell products, accept bookings, manage customers, and process payments.
Users Covered by These Terms:
These Terms apply to:
Visitors to BayoSys-powered sites
Customers purchasing goods/services
Subscribers and members
Users accessing portals or accounts
PhotoPay users and buyers
Tenant users and staff

3. Role of BayoSys vs. Tenants
BayoSys:
Provides the platform, software, hosting, and infrastructure
Enables payments, bookings, CRM, and digital delivery tools
Does not own or control tenant businesses
Tenants:
Are independent businesses
Are responsible for:
Their products/services
Pricing and offers
Fulfillment and delivery
Customer service
Refunds and policies
Legal and regulatory compliance
Important:
BayoSys is not the seller of tenant goods or services.

4. Accounts & Portal Access
To access certain features, you may be required to create an account.
You agree to:
Provide accurate and complete information
Maintain the security of your login credentials
Be responsible for all activity under your account
BayoSys may suspend or terminate accounts for:
Fraud
Abuse
Unauthorized access
Violations of these Terms

5. Acceptable Use
You agree not to:
Use the Platform for unlawful purposes
Commit fraud or misrepresentation
Attempt unauthorized access to systems or data
Scrape, copy, or extract data without permission
Send spam or abusive communications
Upload malware or harmful code
Infringe intellectual property rights
Abuse payment systems or chargebacks
Misuse automations or AI systems
Violation may result in immediate suspension.

6. Purchases, Bookings, and Services
The Platform may support:
Product purchases
Service orders
Appointments and bookings
Subscriptions and memberships
Digital downloads (including PhotoPay)
Important:
All offerings are provided by Tenants, not BayoSys
Availability, pricing, and policies vary by Tenant

7. Payments & Processing
Payments may be processed through third-party providers such as Stripe.
By making a purchase:
You agree to the applicable payment processor terms
You authorize charges for your transaction
BayoSys:
Does not store full card details
May collect platform fees
Platform Fee
In some cases, a $2 platform fee may be charged per transaction.
This fee:
May be paid by the customer or tenant depending on configuration
May be non-refundable unless required by law

8. Refunds, Cancellations, and Disputes
Refund policies are set by each Tenant
Cancellation rules vary by service or booking
Digital products may be non-refundable after delivery
Disputes:
Must first be directed to the Tenant
Chargebacks may result in account restrictions

9. Subscriptions
If you subscribe to a service:
It may automatically renew
Billing occurs on a recurring basis
You are responsible for:
Canceling before renewal if desired
Maintaining valid payment methods

10. Booking & Appointment Policies
For bookings:
Availability is not guaranteed until confirmed
Tenants may enforce:
Cancellation windows
Rescheduling rules
No-show fees
Deposits or prepayments

11. Digital Delivery (PhotoPay & Downloads)
For digital products:
Access may be provided via links
Links may expire
Users are responsible for downloading and saving files
BayoSys is not responsible for:
Lost or expired downloads
Failure to save files

12. User Content & License
By submitting content (including:
Photos
Logos
Branding assets
Event images
Forms or data)
You grant BayoSys a license to:
Host
Store
Process
Display
Transmit
This is solely for operating the Platform.

13. Intellectual Property
BayoSys owns:
Platform software
Templates
Automations
Code and systems
Tenants retain ownership of:
Their branding
Their content
Their customer data
You may not:
Copy
Reverse engineer
Replicate platform systems

14. Third-Party Services
The Platform may integrate with:
Stripe
Supabase
Vercel
Resend
Zoho
Google Calendar
Retell AI
BatchData
AI providers
BayoSys is not responsible for:
Third-party outages
Data handling by those providers
Integration failures

15. Disclaimers
The Platform is provided “as is.”
BayoSys makes no guarantees regarding:
Website performance
Lead generation
Revenue or sales outcomes
Booking success
System uptime
BayoSys does not provide:
Legal advice
Financial advice
Medical or health advice
Insurance advice

16. Limitation of Liability
To the maximum extent permitted by law:
BayoSys is not liable for:
Indirect or consequential damages
Loss of revenue or profits
Business interruptions
Tenant disputes

17. Indemnification
You agree to indemnify BayoSys against claims arising from:
Your misuse of the Platform
Your business operations (if Tenant)
Your content or data
Legal or regulatory violations

18. Suspension & Termination
BayoSys may suspend or terminate access for:
Nonpayment
Fraud or abuse
Legal risk
Excessive disputes or chargebacks

19. Communications Consent
By using the Platform, you consent to receive:
Transactional emails
Account notices
Support communications
This may include:
Email
SMS
Calls (where applicable)

20. Governing Law
These Terms are governed by applicable laws in the jurisdiction determined by BayoSys.
Disputes will be resolved through applicable legal channels or arbitration where required.

21. Updates to Terms
BayoSys may update these Terms at any time.
Continued use of the Platform constitutes acceptance of changes.
